The Committee recommends concurrence as amended as follows:

Add the following to Petition Numbered 31324:

Effective January 1, 2001, amend section 504d. to read:

If the present value of the Participant's Account is equal to or less than $30055,000, the Administrator may direct the Trustee to distribute the full amount to the Participant

without the consent of the Participant or his/her spouse.

Effective January 1, 2001, amend section 5.05b.(3) to read:

Notwithstanding the provisions of Section 5.05b(1) or Section 5.05b(2), if the present

value of a deceased Participant's Account is equal to or less than $35005,000 at the time

of his/her death, the Administrator may direct the Trustee to distribute the full amount to

the Participant's Beneficiary without the consent of the Beneficiary.
